TERMS & CONDITIONS

These Terms & Conditions (“Terms”) govern access to and use of the Vsionet website (“Website”) and all services provided by Vsionet, a company registered in Sheridan, Wyoming (“Vsionet,” “Company,” “we,” “us,” or “our”). By accessing our Website, submitting information, signing an agreement, approving a proposal, paying an invoice, or engaging our services, you agree to be legally bound by these Terms.
Services
Vsionet provides business services including Fully Managed Remote Talent, Recruitment-Only services, and Business Consulting services. All services are governed by separate written agreements, proposals, statements of work, or order forms (“Service Agreements”). In the event of a conflict between these Terms and a signed Service Agreement, the Service Agreement shall control with respect to the specific engagement.
Fully Managed Remote Talent
Under the Fully Managed model, Vsionet recruits, vets, and assigns dedicated remote professionals to support the Client’s operations. This may include payroll administration, benefits coordination, HR support, and performance monitoring as outlined in the applicable Service Agreement.
Client retains responsibility for directing day-to-day work, defining priorities, providing access to systems, ensuring legal compliance within its own jurisdiction, and supervising business decisions. Vsionet is not responsible for Client-owned systems, software tools, security protocols, or regulatory obligations unless explicitly agreed in writing.
Recruitment-Only Services
Under Recruitment-Only services, Vsionet provides candidate sourcing, screening, interviewing, and presentation services. The Client hires directly and assumes sole responsibility for employment classification, payroll, benefits, labor law compliance, onboarding, supervision, and termination.
Vsionet does not act as the employer of record in Recruitment-Only arrangements.
Business Consulting Services
Business Consulting services may include operational diagnostics, workflow redesign, KPI development, accountability systems, leadership advisory, and strategic planning. Consulting services provide professional guidance and recommendations but do not guarantee specific financial or operational results. Business outcomes depend on Client implementation, market conditions, and external factors beyond Vsionet’s control.
Website Use
You agree to use the Website only for lawful purposes. You may not misuse the Website, attempt unauthorized access, interfere with systems, upload malicious content, or infringe intellectual property. Vsionet reserves the right to restrict or terminate Website access at its discretion.
Intellectual Property
All materials, methodologies, frameworks, systems, processes, templates, documents, reports, dashboards, workflows, training materials, recruiting processes, evaluation methods, operational structures, and proprietary tools used or developed by Vsionet (collectively, “Vsionet IP”) are and shall remain the exclusive property of Vsionet.
Nothing in any agreement or engagement shall be construed as transferring ownership of Vsionet IP to the Client.
Consulting Deliverables
Upon full and complete payment of all applicable fees, Client is granted a limited, non-exclusive, non-transferable, non-sublicensable license to use deliverables created specifically for Client’s internal business purposes. This license does not include the right to:
• Resell, redistribute, sublicense, or commercialize deliverables
• Modify and represent deliverables as independently developed systems
• Share proprietary frameworks or methodologies with third parties
• Reverse engineer, replicate, or recreate Vsionet systems
Ownership of Underlying Frameworks
Even if deliverables are customized for Client, all underlying methodologies, business systems, operational structures, templates, intellectual concepts, recruiting processes, performance models, and strategic frameworks remain the sole property of Vsionet.
Payment Condition
No intellectual property rights or usage licenses are granted until all outstanding fees are paid in full. If payment is not completed, Vsionet reserves the right to revoke any limited usage rights.
Client Materials
Client retains ownership of its pre-existing materials, trademarks, data, and proprietary information. Client grants Vsionet a limited license to use such materials solely for the purpose of delivering services.
Work Product Created by Talent
For Fully Managed Remote Talent engagements, any work product created by assigned Talent within the scope of Client’s business operations belongs to the Client, provided all service fees are paid in full. However, Vsionet retains ownership of its internal processes, recruiting methods, evaluation systems, training materials, and performance frameworks.
Infringement
Client agrees not to copy, replicate, distribute, or misappropriate any Vsionet IP. Unauthorized use of Vsionet intellectual property may result in immediate termination of services and legal action.
Survival
This Intellectual Property section survives termination of any agreement.
Fees and Payment
Fees are defined in each Service Agreement. Unless otherwise agreed in writing, invoices are due according to the payment terms stated therein. Late payments may accrue interest at 1.5% per month or the maximum permitted by law, whichever is lower. Vsionet may suspend services for non-payment without liability. Client may not withhold, offset, or deduct payments without written agreement.
No Guarantees
Vsionet provides professional services and makes no guarantees regarding revenue growth, profitability, operational improvements, hiring outcomes, or business performance. All services are provided based on professional expertise and good faith effort.
Limitation of Liability
To the maximum extent permitted by law, Vsionet shall not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, revenue, data, goodwill, or business interruption. Total aggregate liability shall not exceed the total fees paid by Client to Vsionet during the three months preceding the claim.
Indemnification
Client agrees to indemnify and hold harmless Vsionet from any third-party claims arising from Client data, Client systems, Client employment practices, Client instructions, or Client’s violation of applicable laws.
Confidentiality
Both parties agree to maintain confidentiality of non-public information disclosed during the engagement and to use such information solely for service delivery purposes.
Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Wyoming. Any disputes shall be resolved exclusively in the state courts of Sheridan County, Wyoming, or the United States District Court for the District of Wyoming.
Modifications
Vsionet may update these Terms at any time by posting a revised version on its Website. Continued use of the Website or services constitutes acceptance of the updated Terms.
Entire Agreement
These Terms, together with any applicable Service Agreement, constitute the entire agreement between the parties and supersede prior discussions or representations.
