REFUND, CANCELLATION & REPLACEMENT POLICY

Effective Date: January 1, 2026

This Refund, Cancellation & Replacement Policy applies to all services provided by Vsionet unless otherwise specified in a signed Service Agreement.

General Policy

All fees paid to Vsionet are generally non-refundable. Fees compensate for time, recruiting effort, consulting expertise, administrative costs, and capacity allocation.

Fully Managed Remote Talent Cancellation

Client must provide at least 30 calendar days written notice prior to cancellation. If notice is not provided within the required timeframe, the next billing cycle shall be due in full.
 

If a minimum commitment period is stated in the Service Agreement and Client terminates early, Client remains responsible for any early termination fees outlined in the agreement. Onboarding fees, recruiting costs, and administrative fees are non-refundable.
 

Monthly service fees are non-refundable once a billing cycle has begun.

Fully Managed Replacement Policy

If performance concerns arise, Client must provide documented concerns and allow reasonable opportunity for improvement. Replacement eligibility requires that Client remain current on all payments.
 

If replacement is approved, Vsionet will initiate a replacement search. Replacement does not entitle Client to a refund or service credit unless explicitly stated in writing. If Client materially changes role scope, hours, responsibilities, or qualifications, additional fees may apply.

Recruitment-Only Cancellation and Refunds

Recruitment fees are non-refundable once sourcing has begun. If Client hires a candidate introduced by Vsionet within twelve months of introduction, the agreed placement fee remains due.
 

If a replacement window is offered in writing, it may allow for one additional search but does not entitle Client to a monetary refund.

Consulting Cancellation and Refunds

Consulting deposits are non-refundable. If Client cancels before work begins, deposits are retained. If Client cancels after work has begun, fees for completed milestones remain due. Future milestones may be converted to service credit solely at Vsionet’s discretion.

Chargebacks and Payment Disputes

Client agrees to first contact Vsionet in writing to attempt resolution of any billing concern before initiating a chargeback, payment reversal, or dispute with any bank, credit card processor, or financial institution.
 

If Client initiates a chargeback, payment reversal, or dispute without first providing written notice and a reasonable opportunity to resolve the matter, Vsionet reserves the right to:
 

• Immediately suspend all services without notice
• Terminate the Service Agreement for material breach
• Require payment of the disputed amount by wire transfer or certified funds
• Charge an administrative fee to cover processing, investigation, and legal costs
• Recover any third-party fees imposed on Vsionet by payment processors
• Pursue collection efforts for unpaid balances
 

Client acknowledges that chargebacks filed after services have been delivered, recruiting has begun, consulting sessions have been scheduled, or Talent has been assigned constitute a material breach of agreement.
 

If a chargeback is resolved in Vsionet’s favor, Client agrees to reimburse any additional fees, penalties, or costs incurred by Vsionet as a result of the dispute.
 

Repeated chargebacks, fraudulent disputes, or bad faith payment reversals may result in permanent termination of services and refusal of future engagement.
 

Nothing in this section limits Vsionet’s right to pursue legal remedies available under Wyoming law.

Limited Refund Exception

Refunds may only be considered if Vsionet materially fails to deliver services as defined in a signed Service Agreement and fails to cure such breach within a reasonable timeframe after written notice. Any approved refund shall be limited to unused prepaid fees and shall exclude onboarding, recruiting, consulting preparation time, and third-party expenses.

Policy Updates

Vsionet reserves the right to modify this Refund, Cancellation & Replacement Policy at any time. Updated policies take effect upon posting on the Website.
